Square Theory 42 Terms and Conditions of Purchase

These Terms and Conditions of Purchase (“Terms”) govern your purchase of digital products, templates, and related materials (collectively, the “Products”) from Square Theory 42 and its affiliated sites (the “Company,” “we,” or “us”). By completing a purchase, you (“Client,” “you”) agree to these Terms. Please read carefully.

These Terms, together with our website Terms of Use and Privacy Policy (collectively, the “Agreement”), form a binding legal contract. If any conflict arises, these Terms of Purchase take precedence over our website Terms of Use, which take precedence over the Privacy Policy.

NOTE: The section titled “Binding Arbitration” contains a legally binding arbitration agreement. It affects your rights—please read it carefully.

Payment Terms

At checkout, you may pay in full or via an installment plan. All purchases are due in full, regardless of use, satisfaction, or desire to cancel. Payment disputes, cancellations, or credit card chargebacks are not permitted.

Installment plans:

• 3-month plans include a 7% markup.

• 6-month plans include a 14% markup.

Extended payment plans increase financial risk and administrative overhead. Late or missed payments incur a 10% weekly late fee. Chargebacks incur a 20% fee. After ten (10) days of unresolved payment, you are liable for collection, legal fees, and any associated costs. Outstanding balances may result in account bans, license revocation, and legal action.

Product License

Each purchase grants a single-use, non-transferable license for personal or business purposes. You may not share, redistribute, or use the Product across multiple projects or businesses without purchasing additional licenses. Unauthorized use will result in license termination and fees for damages, including legal costs.

No Refund Policy

All Products are non-refundable. Purchases cannot be exchanged or returned under any circumstances.

Intellectual Property

All Products, content, and designs are the exclusive property of Square Theory 42 and/or our licensors. They are protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, sell, distribute, or modify our Products outside the license granted.

Licensed Images and Fonts

Images and fonts included in Products are licensed to the Company from third parties. Your purchase does not transfer any rights to these assets beyond the license to use them within the Product as intended. Unauthorized use, modification, or distribution may incur $5,000 per violation in liquidated damages, in addition to legal costs.

Use of Copy

Any text included in Products is provided as a template. You may modify, edit, and use this copy for your own purposes. The Company is not responsible for making edits or changes on your behalf.

Credit (Optional)

You may credit Square Theory 42 in your website footer. This is optional but appreciated. Credit does not guarantee participation in marketing campaigns, though it may influence consideration for future collaborations.

Editing and Customization

Products are designed for self-customization. You are responsible for editing Products to ensure functionality.

User Contributions

Any user-generated content (text, images, videos, etc.) submitted to the site is considered non-confidential. By submitting, you grant Square Theory 42 a perpetual, worldwide, royalty-free license to use, distribute, and create derivative works from your content. You retain ownership of your contributions.

Submissions

All feedback, suggestions, and ideas submitted to Square Theory 42 become our exclusive property. We may use them for any purpose without acknowledgment or compensation.

Modifications and Interruptions

We may update, modify, or remove Products, content, or the website at any time without notice. Downtime or technical issues will not result in liability.

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Dispute Resolution

Informal Negotiation: Disputes must first be attempted to be resolved informally for 30 days.

Binding Arbitration: Unresolved disputes will be resolved exclusively via binding arbitration under the American Arbitration Association rules. This limits your right to sue in court or have a jury trial. Arbitration will take place in Hays County, Texas

Exceptions: Disputes involving intellectual property rights, theft, outstanding payments, or injunctive relief are not subject to arbitration.

User Data

You are responsible for maintaining backups of your own data. We are not liable for lost or corrupted data.

Electronic Communications

By using the Site, you consent to electronic communications and agree that electronic agreements satisfy any legal writing requirements.

Squarespace Templates

Affiliation: Square Theory 42 is an independent design studio and is not affiliated, sponsored, or endorsed by Squarespace, Inc. The term "Squarespace" is a trademark of Squarespace, Inc. This product is a pre-designed website template created for use on the Squarespace platform.

Nature of Product: You are purchasing a digital website design transfer. You will not receive a physical product or a downloadable code file. Upon purchase, a copy of the template site will be duplicated and transferred to your Squarespace account as a new trial site.

Licensing & Usage:

• Single-Use License: Your purchase includes a license to use this design for one (1) website only. You may not resell, redistribute, or duplicate this design for other clients without purchasing additional licenses.

• Images & Content: The images used in the demo site are for display purposes only. While they may be royalty-free stock images, it is your responsibility to replace all demo content with your own text and photography before publishing. We do not hold liability for copyright issues regarding images you choose to keep.

Platform Requirements: A valid Squarespace subscription is required to launch your site. The cost of the Squarespace subscription is not included in the purchase price of this template.
